This document outlines ViRFQ's disclaimer terms in operating the platform connecting Vietnamese agricultural exporters with international buyers. Please read carefully before using the service.
By using ViRFQ, you confirm that you have read, understood, and agreed to the disclaimer terms stated in this document.
2. Platform Role
2.1. ViRFQ is a Marketplace/Intermediary Platform
ViRFQ operates as a B2B marketplace and intermediary platform, connecting Vietnamese agricultural exporters (sellers) with international buyers through a subscription-based RFQ unlock system. We:
- Collect and display RFQ information submitted by international buyers
- Let sellers unlock buyer contact details under a paid monthly subscription plan
- Perform document-based verification for suppliers who apply for the Verified badge (business registration + export proof, admin-reviewed)
- Do not participate in negotiations or transactions between buyer and seller
- Do not represent either party in a trade
2.2. What ViRFQ is NOT
- Not a party to any trade between buyer and seller
- Not a broker, commercial agent, or trading company
- Not a guarantor or insurer of any transaction
- Not a legal, financial, or commercial advisor
- Not a guarantor of buyer/seller identity, conduct, or trade outcomes beyond the document-based Verified badge described in 2.1
3. RFQ Information
3.1. Information Sources
RFQs on ViRFQ come from buyer submissions collected through various channels, including direct requests from buyers, international B2B platforms, and other public sources. Each RFQ receives an automated Quality Score, which is a heuristic signal only and not a guarantee of accuracy, buyer intent, or deal outcome.
3.2. RFQ Information Disclaimer
ViRFQ is not responsible for:
- Accuracy, completeness, or timeliness of RFQ information as submitted by buyers
- Contact information (email, phone) that may have changed or be inaccurate
- Buyers who have already found suppliers or cancelled their requirements
- Quantity, quality, or price requirements stated in RFQs
- Payment capability, authenticity, or reputation of buyers
3.3. RFQ Verification
Although we perform basic verification processes (spam filtering, email checking) and compute an automated Quality Score, you are responsible for independently verifying information before contacting or transacting with any buyer.
4. Transactions Between Users
4.1. Transaction Disclaimer
All transactions between sellers and buyers occur completely independently from ViRFQ. We are not responsible for:
- Negotiation outcomes between parties
- Quality of products/services provided
- Payments, deliveries, refunds
- Disputes arising from transactions
- Losses due to fraud or deception
- Contract violations between parties
4.2. Recommendations
We encourage you to:
- Verify identity and reputation of partners before transacting
- Use secure payment methods (L/C, Escrow)
- Sign written contracts with clear terms
- Consult legal advice for large transactions
5. Third-Party Content
ViRFQ may display content from users or third parties (company information, product images, reviews). We:
- Do not control or take responsibility for this content
- Do not confirm accuracy or legality
- Reserve the right to remove violating content
- Do not guarantee content continuity
6. External Links
The platform may contain links to external websites. ViRFQ:
- Does not control content of linked websites
- Is not responsible for their privacy policies
- Does not guarantee their safety or reliability
- Encourages users to read terms carefully before use
7. Warranty Statement
Services are provided "AS-IS" and"AS-AVAILABLE". ViRFQ:
- Does not guarantee uninterrupted, error-free service
- Does not guarantee specific results from unlocking RFQ contact details
- Does not guarantee the quantity, quality, or authenticity of RFQs/buyers on the platform
- Does not guarantee successful deal closure between buyer and seller
- Does not guarantee specific revenue or profits from a paid subscription
8. Liability Limitation
8.1. Scope of Limitation
To the maximum extent permitted by law, ViRFQ is not responsiblefor any damages, including:
- Direct, indirect, or incidental damages
- Loss of profits, revenue, or data
- Business interruption damages
- Damages from use or inability to use the service
8.2. Maximum Compensation
In all cases, ViRFQ's compensation liability does not exceed the amount you paid for services in the last 12 months.
9. Force Majeure Events
ViRFQ is not responsible for failure to perform obligations due to events beyond reasonable control, including:
- Natural disasters: earthquakes, storms, floods
- Epidemics, pandemics
- War, terrorism, riots
- Changes in laws or government regulations
- Internet, server, or network infrastructure failures
- Cyber attacks (DDoS, hacking) from third parties
10. Governing Law
We disclaim liability as described above to the maximum extent permitted by applicable law. These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any dispute arising out of or relating to the use of the ViRFQ platform shall first be resolved through good-faith negotiation between the parties. If no settlement is reached, the dispute shall be submitted to the competent courts of Hà Nội, Vietnam.
